AMD - Safety Passport
General Sales Conditions "AMD/PS 01.2017"

1. General

These general conditions of sale are intended to govern the relationship between AMD, hereinafter referred to as "the Seller" and his customer, hereinafter referred to as "the Buyer" who makes the purchase of tickets / credits on www.passeportsecurite.nc to access the e-Learning platform "Safety Passport". The registration and the online purchase (by the proposed methods of payment) made by the Buyer implies acceptance by him of these terms and conditions of sale.

2. Prices

Prices are net, excluding taxes. It will be taken into account for the emission of the invoice of the taxes in force at the time of the on-line purchase and possible exemptions.

3. Payment Terms

The purchase of safety passport credits/tickets is made directly online through the payment methods offered. Bank charges related to the transaction are directly borne by the Buyer. Once the purchase is made, the credits/tickets are definitively acquired by the Seller.

4. Time limits

No compensation is due by the Seller in case of delay on the validity of the credits/tickets between their purchase and their actual availability for any cause or circumstance whatsoever.

5. Changes

The Seller may make changes to the credit/ticket amount. For this purpose, the Seller shall notify the Buyer of any changes made with the dates of application. Any credit/ticket purchased before the date of application of the modifications even not used is not concerned, any purchase and any transaction carried out by the Buyer after the date of application of the modifications is concerned.

6. Confidentiality - Secret - Copyright

The Seller undertakes to keep confidential the data entered by the Buyer, it may not distribute, publish or use them to third parties or for commercial purposes without the prior express written permission of the Buyer. A declaration to the CNIL has been made by the Seller to this effect.

As subject to copyright laws, the whole content of Safety Passport NC e-learning programme, including videos and quizzes, must not be shared or copied. The Buyer agrees that sharing or copying any of the content of the Safety Passport NC, for personal or commercial use, is subject to prosecution.

7. Force majeure

The Seller incurs no liability when the non-performance of its obligations is caused by an event of force majeure, we mean any fact preventing the updating of credits/tickets according to transactions requested despite due diligence on the part of the Seller. The following events are considered as force majeure without the list being exhaustive: atmospheric disasters and natural disasters, social conflicts, blocked computer system, blocked banking system, fires, explosions, action or failure of public services, acts of war, sabotage, embargo, insurrection, riot, various disturbances of public order.

8. Litigations

Any dispute that may arise in the relations between the Seller and the Buyer and that could not be settled amicably shall be subject to the exclusive jurisdiction of the Commercial Courts of Nouméa.
